Creator Program Terms & Conditions

1. Eligibility and Acceptance

Participation in the Program is subject to approval by AutoGauge. Submitting an application does not guarantee acceptance.

Creators must provide accurate and complete information and comply with applicable laws, advertising requirements, platform rules, and these Terms.

Unless AutoGauge expressly approves otherwise in writing, participants must be at least 18 years old and legally capable of entering into these Terms.

AutoGauge may approve or reject applications and may suspend or terminate participation as provided by these Terms and applicable law.

2. Creator Links and Codes

Approved creators may receive a unique referral link, promotional code, tracking link, or other identifier ("Creator Link") for attributing qualifying customers to the creator.

Creator Links may only be used for legitimate promotion of AutoGauge.

Creators may not manipulate, alter, misuse, interfere with, or attempt to circumvent AutoGauge's tracking or attribution systems.

3. Commission

Unless AutoGauge and a creator agree otherwise in writing, approved creators may earn 30% of the first month's eligible subscription revenue from qualifying customers attributed to that creator.

Starting a free trial does not by itself earn a commission.

A commission becomes eligible only after the referred customer successfully converts to an eligible paid subscription and AutoGauge or its applicable payment or platform provider successfully receives payment.

Unless otherwise stated in writing, subsequent subscription renewals do not generate additional creator commissions.

Commissions are based on eligible revenue actually received. Refunds, chargebacks, reversed transactions, fraudulent transactions, test purchases, complimentary subscriptions, taxes where applicable, and other ineligible transactions may be excluded. One-time scan purchases are not eligible subscription revenue.

AutoGauge may offer different commission rates, bonuses, campaigns, or promotional arrangements to individual creators when separately communicated or agreed upon.

4. Attribution

AutoGauge uses available tracking technologies, Creator Links, promotional codes, and related systems to determine attribution.

A new customer is attributed to a creator when they use that creator's Creator Link and create an AutoGauge account within 30 days. That 30-day period is the attribution window the Program uses today.

Attribution may be affected by device privacy settings, Apple's or Google's privacy systems, browser restrictions, deleted cookies, advertising blockers, switching devices, app-store attribution limitations, or other technical factors outside AutoGauge's control.

AutoGauge's reasonably maintained tracking records will be used to determine attribution and commission eligibility where permitted by applicable law.

Creators are not entitled to commissions for transactions that cannot reasonably be attributed to them.

If multiple Creator Links, codes, marketing channels, or creators are associated with the same customer, the first approved Creator Link tied to that new account is the one that counts.

5. Payments

A commission stays pending for 14 days after it is created, then becomes available to pay. AutoGauge pays available commissions manually in US dollars by PayPal, to the PayPal email saved in the creator dashboard. Saving a PayPal email does not by itself release a payment.

AutoGauge may establish reasonable minimum payout thresholds and verification requirements.

Creators must provide accurate payment and tax information where required.

Creators are responsible for their own applicable taxes, reporting obligations, expenses, and liabilities associated with Program earnings.

AutoGauge may delay, withhold, adjust, or reverse commissions reasonably associated with refunds, chargebacks, payment disputes, fraud, tracking manipulation, Program abuse, or transactions that otherwise do not qualify under these Terms.

6. FTC and Advertising Disclosures

Creators must clearly and conspicuously disclose their financial relationship with AutoGauge whenever promoting AutoGauge where disclosure is required by applicable law or platform rules.

Because creators may receive commissions from AutoGauge, creators must make their material connection to AutoGauge clear to consumers.

Disclosures must be easy to notice, easy to understand, and placed with the endorsement itself rather than hidden in a profile, buried among hashtags, or placed somewhere viewers are unlikely to see.

Where appropriate, creators should use clear language such as:

• "I earn a commission if you subscribe through my link."
• "Sponsored by AutoGauge."
• "#ad"

For video content, creators must make required disclosures in a manner reasonably noticeable to viewers and comply with applicable platform-specific disclosure requirements.

Creators are responsible for complying with applicable Federal Trade Commission endorsement requirements and other applicable advertising laws and regulations.

7. Honest Endorsements and Claims

Creator statements about AutoGauge must reflect the creator's honest opinions, findings, beliefs, or actual experiences.

Creators may not make claims about AutoGauge that are false, deceptive, misleading, or unsupported.

Creators may not make guarantees about:

• Vehicle values
• Vehicle condition
• Future resale value
• Repair costs
• Investment or financial returns
• Savings
• Accuracy of vehicle information
• Whether a particular vehicle is safe or suitable to purchase

unless AutoGauge has expressly authorized the specific claim and there is an appropriate basis for making it.

Creators must not misrepresent AutoGauge's pricing, free-trial terms, subscription terms, features, functionality, limitations, or capabilities.

8. AutoGauge Review and Compliance

AutoGauge may reasonably review promotional content related to the Program for compliance with these Terms, applicable law, platform requirements, and AutoGauge brand guidelines.

AutoGauge may request that a creator correct, update, add a disclosure to, or remove promotional content that is misleading, inaccurate, outdated, noncompliant, or otherwise violates these Terms.

Creators agree to reasonably cooperate with legitimate compliance requests.

Repeated or serious violations may result in suspension or termination from the Program.

9. Prohibited Promotion and Fraud

Creators may not:

• Generate fraudulent or artificial referrals.
• Use bots, fake engagement, click farms, or fraudulent traffic.
• Create fake accounts or transactions.
• Manipulate attribution systems.
• Generate improper self-referrals for the purpose of earning commissions.
• Spam users.
• Send unlawful unsolicited commercial communications.
• Make false or misleading statements about AutoGauge.
• Impersonate AutoGauge or its employees.
• Claim to be an official AutoGauge account.
• Misrepresent their relationship with AutoGauge.
• Misrepresent pricing, trials, subscriptions, features, or results.
• Engage in unlawful conduct in connection with AutoGauge promotion.

AutoGauge may investigate suspicious referrals, transactions, traffic, accounts, or commissions.

Commissions resulting from fraud, manipulation, abuse, refunds, chargebacks, or otherwise ineligible transactions may be withheld or reversed.

10. AutoGauge Brand and Intellectual Property

AutoGauge owns its trademarks, logos, product names, software, website content, graphics, and other intellectual property.

Creators may use AutoGauge-approved names, logos, screenshots, graphics, and brand assets solely for legitimate promotion of AutoGauge through the Program.

Creators may not materially alter AutoGauge trademarks, register confusingly similar domains or social accounts, or imply ownership of AutoGauge intellectual property.

AutoGauge may request correction or removal of inappropriate or misleading uses of its brand.

11. Creator Content and License

Creators retain ownership of content they independently create.

For promotional content created or submitted in connection with the Creator Program, the creator grants AutoGauge a non-exclusive, worldwide, royalty-free license to repost, display, share, and use the content through AutoGauge's organic marketing channels, unless otherwise agreed in writing.

This license does not automatically grant AutoGauge unlimited paid advertising, whitelisting, creator-handle advertising, or perpetual paid-media rights.

Paid advertising usage, whitelisting, Spark Ads, Partnership Ads, creator-handle advertising, or other expanded usage rights may require a separate agreement or creator authorization.

12. Confidentiality

Creators may receive non-public information regarding AutoGauge, including upcoming features, marketing plans, creator program information, analytics, or other business information identified as confidential or that reasonably should be understood to be confidential.

Creators may not disclose or misuse confidential AutoGauge information except as authorized by AutoGauge or required by law.

Information that is already public through no violation of these Terms is not considered confidential under this section.

13. Independent Contractor Relationship

Participation in the Program does not create an employment relationship, partnership, joint venture, franchise, agency, fiduciary relationship, or other similar relationship between the creator and AutoGauge.

Creators participate as independent parties.

Creators are responsible for their own equipment, expenses, taxes, insurance where applicable, content production, and business activities.

Creators do not have authority to enter into agreements, incur obligations, or make commitments on behalf of AutoGauge.

14. Termination

Creators may stop participating in the Program at any time.

AutoGauge may suspend or terminate a creator's participation for violations of these Terms, fraudulent activity, misleading promotion, repeated disclosure violations, Program abuse, legal or regulatory concerns, or other legitimate business reasons.

Legitimately earned commissions accrued before termination will remain subject to applicable payout, refund, chargeback, fraud, and eligibility rules.

Termination does not eliminate obligations that by their nature should survive termination, including confidentiality, intellectual property protections, payment adjustments, and applicable limitations of liability.

15. Changes to the Program or Terms

AutoGauge may modify the Program, including commission structures, eligibility requirements, attribution rules, promotional requirements, or other Program features.

Material changes affecting participating creators should be communicated through reasonable means such as email, the creator dashboard, or the AutoGauge website.

Changes will apply prospectively where required by applicable law.

Continued participation after applicable changes take effect constitutes acceptance of the updated Terms to the extent permitted by law.

16. No Guarantee of Earnings

Participation in the Creator Program does not guarantee any particular amount of:

• Earnings
• Commissions
• Referrals
• Views
• Engagement
• Downloads
• Trials
• Subscriptions
• Conversions

Creator performance can vary substantially.

AutoGauge does not guarantee that participation in the Program will be profitable.

17. AutoGauge Service and Availability

AutoGauge may update, modify, replace, suspend, or discontinue features of its products or services over time.

Creators should use current AutoGauge information when promoting the service and should not continue making claims based on outdated features, pricing, or offers after being notified of changes.

18. Limitation of Liability

To the fullest extent permitted by applicable law, AutoGauge LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from participation in the Creator Program.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

19. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

20. Entire Agreement

These Terms, together with any creator-specific written agreement, applicable Program rules, and other terms expressly incorporated by reference, constitute the agreement governing participation in the Creator Program.

If AutoGauge and a creator enter into a separate written agreement that expressly conflicts with these Terms, the specific written agreement controls with respect to that conflict.

21. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
